Software License Agreement

"Licensor" refers to RescuePC, a software development company.

"Licensee" refers to you, the individual or entity purchasing and using the Software.

"Software" refers to RescuePC software, including all versions, updates, and related tools.

Subject to the terms and conditions of this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software on devices owned or controlled by Licensee
• Use the Software for its intended purpose as described in the documentation
• Access updates and support services during the license period
• Create backup copies for archival purposes only

This license does not grant ownership of the Software or any intellectual property rights.

Basic License:

• Single-user license for personal use
• Valid for one (1) year from purchase date
• Non-commercial use only
• No redistribution rights

Professional License:

• Single-user license for commercial use
• Valid for one (1) year from purchase date
• Commercial use permitted
• No redistribution rights

Enterprise License:

• Multi-user license for business use
• Valid for one (1) year from purchase date
• Commercial use permitted
• Internal distribution within organization only

Government License:

• Multi-user license for government entities
• Valid for one (1) year from purchase date
• Government use permitted
• Compliance with government regulations

Lifetime License:

• Single-user license with perpetual rights
• No expiration date
• Commercial use permitted
• No redistribution rights

Licensee may NOT:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works
• Distribute, sublicense, or transfer the Software
• Use the Software for illegal or unauthorized purposes
• Attempt to gain unauthorized access to Licensor's systems
• Use the Software to harm, damage, or interfere with other systems
• Remove or modify any copyright, trademark, or proprietary notices
• Use the Software in violation of applicable laws or regulations
• Share license keys or access credentials with unauthorized users
• Use the Software for competitive analysis or benchmarking

OWNERSHIP: The Software and all intellectual property rights therein are and shall remain the exclusive property of Licensor.

This includes but is not limited to:

• Copyrights and copyright registrations
• Trademarks and service marks
• Patents and patent applications
• Trade secrets and confidential information
• Source code and object code
• Documentation and user manuals

Licensee acknowledges that no title to the intellectual property is transferred under this Agreement.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Licensor disclaims all warranties, including but not limited to:

• Warranties of merchantability
• Warranties of fitness for a particular purpose
• Warranties of non-infringement
• Warranties that the Software will be error-free
• Warranties that the Software will be uninterrupted
• Warranties that defects will be corrected

Licensee assumes all responsibility for the selection and use of the Software.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Lost profits or revenue
• Lost data or business opportunities
• Business interruption
• Computer failure or malfunction
• Any other commercial damages or losses

LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE.

Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any claims, damages, losses, and expenses arising from:

• Licensee's use of the Software
• Licensee's violation of this Agreement
• Licensee's violation of any third-party rights
• Any unauthorized use of the Software by Licensee
• Any claims by third parties related to Licensee's use

This Agreement terminates automatically if Licensee fails to comply with any of its terms.

Upon termination:

• Licensee must cease all use of the Software
• Licensee must destroy all copies of the Software
• Licensee must return or destroy all documentation
• All provisions of this Agreement survive termination

Licensor may terminate this Agreement immediately upon written notice for any breach.

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the courts of Delaware, and Licensee consents to personal jurisdiction.

Licensee waives any right to a jury trial in any legal proceeding.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements and understandings.

No modification of this Agreement is effective unless in writing and signed by both parties.
